Terms of Service
This is an earlier version of the Terms of Service, dated October 25, 2026. It was replaced on October 29, 2026.
Last updated: October 25, 2026. Effective: October 25, 2026.
These Terms of Service (“Terms”) are an agreement between Craze Software, LLC, doing business as ContentCraze (“ContentCraze,” “we,” “us,” or “our”), and the person or organization accepting them (“you”). “Services” means our websites, brand portal, creator applications, creator programs, and related services, including Operator and other managed marketing services described in Section 8. These Terms govern the Services.
In these Terms, “Brand” means a business or organization that uses the Services to buy or run creator content; “Creator” means an individual who uses the Services to make, submit, or post content for a Brand; “campaign” means a program that a Brand runs through the Services in which Creators make and submit content; “Operator” means the managed marketing service described in Section 8; and “Marketplace” means the part of the Services where a Brand posts a brief and Creators submit finished videos that the Brand may buy (see Section 13).
ContentCraze helps Brands produce and publish creator content. Software subscriptions, service fees, creator budgets, advertising spend, and other outside costs are separate unless the applicable Service Details expressly combine them. Purchasing Services does not guarantee views, sales, search rankings, or other marketing results.
These Terms include liability limits, an indemnity, and an individual arbitration agreement in Sections 17, 18, and 19.
1. Agreement and related documents
You accept these Terms through an affirmative acceptance action presented with a conspicuous link to the applicable version, such as an acceptance checkbox or button. For Brands, we may also present clear notice that creating an account, purchasing Services, funding or operating a campaign, or continuing to use the brand portal constitutes acceptance of these Terms, together with a readily accessible link and a reasonable opportunity to review them. By taking the identified action or continuing that use after receiving this notice, you agree to these Terms. This does not replace any separate consent required by law or the acceptance process for material updates under Section 21. For Operator and other managed services, you may also accept by written confirmation that expressly agrees to the applicable version of these Terms and the Service Details presented with them. No separate agency contract or statement of work is required. If you act for a business, you represent that you have authority to bind that business.
“Service Details” means the Brand-specific plan, service fee, scope, platforms, budgets, start date, billing periods, approval authority, and any other service configuration offered by ContentCraze and expressly accepted by you as part of the agreement under these Terms. Service Details may be presented in checkout or account settings, or communicated in writing by email or invoice before acceptance, together with a conspicuous link to the applicable version of these Terms. They do not require a separately signed document. “Program Rules” means the campaign or creator requirements, compensation terms, deadlines, and other rules disclosed and accepted for a particular program. Program Rules are shown on the campaign page in the Services. A “Submission” means Creator content provided through the Services or an expressly agreed review workflow for a campaign or Marketplace brief. The applicable Creator Assent, which a Creator accepts in the Services, governs creator rights and participation alongside these Terms.
Accepted Service Details are part of this agreement and identify the specific services you purchase. They change a default in these Terms only where they expressly identify the different arrangement and both parties agree to it. Program Rules control operational details and the pay amounts for their program. The Creator Assent controls creator-specific rights and posting duties where consistent with the applicable accepted Program Rules. No campaign instruction may override mandatory law or reduce earned compensation retroactively. If the Creator Assent or Program Rules conflict with these Terms on ownership, payment conditions, or fees, these Terms control. The Privacy Policy describes data processing.
A later invoice records agreed charges and payment instructions. Issuing or receiving an invoice does not, by itself, amend accepted Service Details, establish acceptance of these Terms, or authorize automatic bank debits. Marketing examples and estimates are not additional contractual guarantees unless expressly agreed as binding in accepted Service Details or Program Rules.
2. Eligibility and accounts
Account holders and Creators must be at least 18 and old enough to enter a binding contract where they live. Businesses must be lawfully established and represented by an authorized person. Services are available only where permitted by law and our providers.
Provide accurate account, identity, location, payment, and tax information. Keep credentials secure, use accounts you are authorized to use, and promptly report suspected unauthorized access. A Brand is responsible for its authorized team members’ instructions and activity. Creators must not share accounts, impersonate another person, or misrepresent eligibility.
You are responsible for maintaining required devices, internet access, and social or payment accounts. We may verify eligibility, decline applications, or restrict access for legitimate safety, fraud, compliance, or operational reasons.
3. Services and roles
Services may include script and slideshow campaigns, creator recruitment, recording and editing tools, AI assistance, content review, posting coordination, analytics, research, and managed marketing services. Availability depends on your plan and accepted Service Details.
Creators generally publish campaign content on their own social accounts. A Creator’s social account does not become Brand property because the Brand pays for content. Plan features such as clean downloads, ad authorization tools, creator access, and reporting are separate from ownership of paid content.
We may review content and approve posting within the authority a Brand grants us. Operator may include hands-on strategy, scripting, recruitment, review, and campaign management. We are responsible for the services we expressly undertake. We do not assume authority to bind a Brand to unrelated contracts or commitments.
Creators are engaged as independent service providers unless a separate agreement states otherwise. Classification and any employment rights are determined by applicable law and the actual relationship, not solely by this label. ContentCraze may contract directly with Creators or administer Brand engagements, as identified in the applicable arrangement. Nothing here creates a partnership, joint venture, or unrestricted agency relationship.
The Services and Creator participation are nonexclusive unless exclusivity is expressly agreed in accepted Service Details or Program Rules and accepted by each affected party. ContentCraze may provide services to other brands, including competitors, and Creators may work with or post about multiple brands on the same accounts. Purchasing a plan or campaign does not reserve a Creator, account, category, or dedicated roster exclusively for a Brand. We will honor any express exclusivity commitment and continue to protect confidential information and the Brand’s ownership of paid deliverables.
4. Plans, fees and payment methods
4.1 Prices, fees and separate charges. You agree to the prices, billing periods, usage limits, and fees disclosed before purchase or commitment. Software and Operator fees do not include creator compensation, ad spend, shipping, products, travel, licensed assets, or other outside costs unless expressly included. “Unlimited” features remain subject to the purchased scope, funded budgets, reasonable use, and applicable technical limits.
For standard campaigns, the default Brand platform fee is 10% of funded creator budgets, or 8% for bank-payment methods that we designate as qualifying before funding, such as ACH Direct Debit through our checkout, unless different terms are expressly agreed before funding. Budget paid by invoice, for example by ACH or wire through Rho, carries the fee stated on that invoice. The platform fee is deducted from the budget, not added on top. The remaining balance funds creator compensation and other expressly disclosed campaign costs. The Creator platform fee is addressed in Section 7. Operator or custom programs may use a different agreed fee structure.
4.2 Recurring billing. Paid software plans generally renew monthly and are billed in advance until canceled, unless checkout states otherwise. A recurring creator-budget refill requires separate disclosure and authorization of the amount or calculation, frequency, and cancellation method. Authorizing a subscription does not authorize unlimited campaign spending.
Cancel through available billing settings or by emailing nick@contentcraze.io. Software cancellation stops the next renewal if received before that renewal is processed; access ordinarily continues through the paid period. Operator cancellation follows Section 8.5. Plan changes and overages apply only as disclosed and authorized. Price changes apply prospectively with notice before the affected renewal and any consent required by law.
4.3 Stripe and bank invoices. We primarily use Stripe to process payments for the Services. We may also collect invoice payments by ACH, wire, or another approved bank transfer through Rho or another invoicing provider. Rho invoices are payable by bank transfer. The applicable checkout, accepted Service Details, or invoice states the amount, currency, due date, available methods, and any separately charged fees. Provider fees charged to ContentCraze are not automatically an additional customer charge.
Unless agreed otherwise, required fees and campaign funding must be received and available before work or spending begins. A transfer receipt, pending payment, or invoice status alone does not establish available funding. Bank holidays, verification, provider restrictions, and reversals may affect processing.
Automatic card charges or bank debits require the applicable payment authorization. Third-party payment terms apply to the functions you use; we may change providers without reducing existing payment obligations.
4.4 Failed payments, disputes and taxes. If an amount properly owed is unpaid, returned, or reversed, it remains payable. We may pause new work, posting, or spending while it is resolved. You remain responsible for approved costs already incurred or irrevocably committed. Any late fees must be disclosed in the accepted Service Details and permitted by law. You are responsible for applicable taxes on your purchases or earnings, excluding taxes on ContentCraze’s own net income.
You must not initiate fraudulent payment disputes. These Terms do not prohibit legitimate disputes or restrict rights provided by law or payment-provider rules. Notify us promptly of billing errors so we can investigate.
5. Campaign funding, refunds and credits
This section applies to Brand-funded campaign balances, not Creators’ valid earned compensation governed by Section 7. Campaign funding is an advance payment toward agreed services and program costs. Brand campaign balances shown in the Services are accounting records for those programs. They are not a bank account or an escrow service provided by ContentCraze, earn no interest, and are not freely withdrawable funds.
A balance may be available, reserved for an approved commitment, earned by a Creator, paid, or charged as an agreed fee. A pause, cancellation, or account closure does not cancel earned compensation, authorized noncancelable commitments, or fees already due.
Refunds of unused, uncommitted campaign budget (creator funding) are at ContentCraze’s discretion and are not guaranteed. You may request a refund, but a request does not create an entitlement, and we may approve or decline it. We will honor any express refund commitment in accepted Service Details or Program Rules and any refund required by law. Refunds we approve may exclude earned or expressly nonrefundable fees, valid outstanding charges, and amounts already committed, earned, or paid to Creators or other providers.
Unused budget after a campaign ends. When a campaign ends, you may ask us to refund its unused, uncommitted funding, and we decide as described above. If you have not asked, ContentCraze may decide, at its discretion and without notice to you, to keep that campaign’s unused, uncommitted funding. This applies only to funding made on or after the effective date of these Terms. A refund request we receive before we keep the funding stops this for that campaign.
Unless required by law or expressly agreed, we do not refund unused subscription time, unused included features, earned service fees, or completed purchases, and we do not refund campaign spending because results were disappointing. We will correct confirmed billing errors. Creator payments are not recoverable merely because a Brand changes its strategy or dislikes later performance.
Approved refunds are ordinarily returned to the original payer using the original payment method or another verified method. Processing depends on the relevant provider. Nothing in this section limits mandatory refund rights or excuses our express contractual obligations.
6. Campaign operation and posting
Program Rules identify required content and platforms, compensation, verification periods, budget limits, deadlines, and posting duties. Video-volume calculations, cost-per-video estimates, response targets, and projected timelines are planning estimates unless accepted Service Details or Program Rules expressly make them binding deliverables.
For campaign quantities and reporting, a “video” means an actual Creator video Submission, not an approved video or a published post. Each distinct initial video submitted for the campaign counts once. Revisions, resubmissions, and duplicate uploads of the same video do not count as additional videos unless different counting rules are clearly disclosed and accepted before participation. Pending and rejected videos may count toward Submission totals, but not approved, purchased, or published totals. An approved video is a Submission cleared through the review workflow; “Accepted” content and its ownership transfer remain governed by Section 10. A published post is a separate publication on a social platform, with verification handled under the applicable Program Rules. Posting the same video on three platforms does not create three video Submissions.
Unless a quantity is expressly identified as approved, Accepted, or published content in accepted Service Details or Program Rules, references to campaign video quantities mean Submissions. For example, 800 submitted videos in a month may result in only 400 approved videos; Submission volume does not guarantee an equal number of approvals or posts. Estimates are subject to Section 11. Counting a Submission does not grant rights to pending or rejected content, trigger payment by itself, or relax applicable quality and compliance requirements. Where multiple platforms are required, each completed and verified platform post is tracked separately. Missing or failed platform posts are not counted as published, and payment allocations, replacements, or credits follow the applicable accepted Program Rules and any remedies required by law.
Unless expressly agreed in accepted Service Details or Program Rules, we do not guarantee a particular Creator or an unchanged roster. Creators may decline, withdraw, become unavailable, lose account access, or become ineligible. We may select or arrange reasonable replacements that meet the agreed campaign requirements. If a particular Creator or other material talent requirement was expressly promised, a materially different replacement requires the Brand’s approval. A replacement does not guarantee identical followers, audience, output, or results, erase compensation already earned, or authorize additional charges outside an approved budget.
For campaigns where the Brand approves every video before it posts, Creators submit content for review. The Brand or its authorized ContentCraze reviewer may approve, request revisions, or reject it. Creators must not post before approval or make unapproved material changes. Payment eligibility ordinarily requires the approved post, a submitted working URL, and successful verification under the applicable Program Rules. Approval alone is not a promise of immediate cash payout.
If a Brand has not decided on a video within 72 hours, ContentCraze may approve or reject it for the Brand as its authorized reviewer. By running a campaign, the Brand gives us that authority. The Brand may also authorize us to approve individual videos that meet the campaign requirements, whether they follow a Brand-approved script or a script the Creator wrote. These authorizations are limited to the agreed scope; they do not authorize new product claims or spending beyond the agreed budget.
Creators must keep the videos they were paid for posted and publicly accessible, unless we tell them it is fine to take one down. Creators must not delete, archive, or make private a paid video without that permission. Removal is also allowed when required by law, platform rules, safety, or a valid takedown obligation. If a paid video comes down, its earnings can be reversed, and any part already paid out can be recovered from the Creator’s later earnings. Creators must promptly report involuntary removal or account restrictions and cooperate with reasonable corrective steps.
We cannot guarantee that any third-party post stays online permanently. Replacements or credits are due only if accepted Service Details, Program Rules, or law requires them.
Link in bio. When a campaign requires a link in bio, Creators agree to keep their ContentCraze link (contentcraze.io/c/ followed by their handle) in the bio of the social account they post from while the campaign runs. ContentCraze lists the Brand’s link on that page for the Creator. A Creator may keep the ContentCraze link inside another link page they use. ContentCraze does not verify the bio and does not withhold earnings on this basis unless the Program Rules say otherwise.
A Brand may request that a campaign be paused or ended. We will implement the request within a reasonable operational period; already scheduled or committed activity may not stop immediately. A pause does not cancel otherwise applicable subscription or Operator fees. Changes to rates or requirements apply to views and approvals after the change. They do not reduce compensation already earned under earlier rules or bonuses that are already locked.
If you believe a deliverable fails to meet an agreed requirement, promptly report the issue through the Services or to nick@contentcraze.io, identifying the campaign, Submission or post, the specific unmet requirement, and any relevant evidence. We will reasonably investigate and, where an in-scope defect attributable to ContentCraze is confirmed, we will have a reasonable opportunity to correct the issue or arrange a qualifying replacement where feasible. You must reasonably cooperate with that process. Low performance, a rejected Submission, or a difference from an estimate does not, by itself, establish a delivery defect. Changes to approved instructions or new creative preferences remain subject to the scope and revision terms in Sections 8.1 and 8.3. This process does not make correction or replacement the exclusive remedy, prevent urgent legal or safety action, or restrict any expressly agreed or mandatory refund, correction, or other legal right.
7. Creator compensation and payouts
Creators must review the compensation terms before participating. Those terms identify base pay, payments for additional platforms, view bonuses, caps, eligible measurement windows, posting duties, applicable deductions, and whether displayed amounts are gross or net.
Unless different terms are expressly disclosed and accepted, Creators request a payout (Cash out) once they have the minimum in checked earnings. We review each request. The app shows the minimum and the wait between requests. We may ask for a screen recording of the posts, and we may hold a request during a dispute or check. ContentCraze deducts a platform fee from gross payable earnings when a payout is requested. The current fee and how it affects net pay are shown on the Earnings screen and at Cash out. An increase in the platform fee starts 14 days after notice. Balances below the minimum carry forward while your account stays open. If you delete your account before cashing out, you give up any earnings not yet paid out, and they are not paid, except where applicable law requires otherwise. You cannot delete your account while a payout is being sent to you.
View-based compensation uses verified eligible views within the disclosed period and cap. We may exclude bots, purchased engagement, duplicates, invalid activity, or material reporting errors. A bonus subject to a disclosed pool or budget cap is not an uncapped payment promise. A later rate change does not reduce compensation already earned, and campaign closure does not erase existing payment obligations.
We may hold disputed amounts for a reasonable investigation or as required by law or provider policy.
Bans. We may ban a Creator for a material violation of these Terms, the Creator Assent, or Program Rules, or for fraud. When we ban a Creator, every earning not yet paid out is canceled and returns to the campaign budget it came from, any waiting payout request is canceled, and no video earns anything after the ban. Money already sent in a payout stays paid; if that payout later fails or is returned, it is not sent again. Lifting a ban does not restore earnings that were canceled. Suspending an account without a ban does not by itself remove valid earned compensation.
Recovering an overpayment, or compensation paid out because of fraud or an unexcused posting breach, requires a lawful basis and the applicable disclosed terms; unrelated sums may not be withheld where law prohibits it.
Payouts may use Stripe Connect or another approved provider. Creators must supply valid payout details and any required identity verification, tax forms, and acceptance of applicable provider terms or recipient notices. To the extent supported by your payment-account setup and permitted by your accepted provider terms, you authorize us to assist with onboarding and account administration, access relevant payment-account and transaction data, direct program transfers and payouts, deduct disclosed fees, and make lawful adjustments described in these Terms. These permissions are limited to administering your ContentCraze participation. We may share necessary account and transaction information with providers, consistent with the Privacy Policy. Additional provider charges apply only as disclosed or required by the provider’s applicable terms.
No minimum number of opportunities or future earnings is guaranteed. Provider processing, verification, and banking delays can affect when a payout reaches your account.
8. Operator and other agency services
8.1 Agreement and scope. Operator and other agency services are governed by these Terms and the Service Details accepted under Section 1. A separate agency contract is not required. Unless accepted Service Details state otherwise, Operator includes campaign planning, script and content-brief preparation, Creator recruitment and coordination, review of submitted content, posting coordination, and reporting based on available campaign data for the Brand’s funded campaigns. These services do not include a guaranteed Submission, approval, posting, or performance quantity unless expressly agreed as binding.
The accepted Service Details identify the Brand’s service fee, included campaigns and platforms, service period, funded budgets, approval authority, and any agreed deliverable quantities, reporting frequency, or special requirements before work begins. Software fees, creator compensation, advertising spend, and outside costs are separate unless expressly included. Only the agreed scope is included. Ad buying, website development, community moderation, public relations, legal review, crisis response, product testing, and unlimited revisions are excluded unless expressly included. Changes or additions require mutual approval of the revised scope, cost, and schedule under these Terms.
We may use employees, Creators, contractors, and specialist providers to perform the work. We remain responsible for our expressly contracted services; subcontracting does not expand the agreed scope.
8.2 Brand responsibilities. The Brand must appoint an authorized contact and timely supply accurate product information, claims substantiation, usable assets, necessary permissions, account access, samples, funding, and feedback. The Brand is responsible for its products, pricing, fulfillment, customer support, required licenses, and changes affecting approved content.
The Brand must approve product claims and required disclaimers in writing before use. We may rely on that information but may request supporting evidence and decline unsupported, unlawful, or misleading instructions. Approval does not remove either party’s own duties under law.
8.3 Approvals and revisions. Unless accepted Service Details state otherwise, the Brand must respond within five business days of a request for approval or feedback. Silence is not approval of new product claims. Missing inputs or delayed approvals may extend timelines, pause affected work, or require rescheduling. Monthly fees for an agreed reserved service period remain payable when Brand delays prevent performance, subject to law and any contrary accepted Service Details.
Unless otherwise agreed, one consolidated revision round per creative deliverable is included. Revisions must remain within the approved brief. New concepts, changed claims, reshoots caused by changed instructions, additional formats, and changes after approval may require an agreed additional fee and revised timeline. Fixing our failure to meet an express deliverable requirement is not treated as a paid scope expansion.
Written approval of a script or template permits its use within the approved campaign and review workflow. Final video review follows the accepted Service Details and campaign setup. After publication, edits or removal may depend on Creator and social-platform cooperation.
8.4 Budget authority. You authorize only the creator commitments, campaign spending, and outside costs within the budget and scope you expressly approve. Increasing a budget or adding separately charged services requires approval. Creator commitments, ad spend, shipments, and outside fees may be noncancelable once authorized and incurred. We do not advance those costs unless agreed in writing.
8.5 Term and cancellation. Unless accepted Service Details state otherwise, Operator service runs in successive monthly periods, is billed in advance, and renews until canceled with at least 30 calendar days’ written notice to nick@contentcraze.io (or by mail to the address in Section 22). Operator begins after acceptance of these Terms and the Service Details and receipt of required initial payment and funding. The first monthly period begins on activation of the service unless another start date is expressly agreed. The applicable start date, fee, billing periods, and renewal arrangement are presented before acceptance. Cancellation takes effect at the end of the first monthly period ending at least 30 days after we receive notice. Depending on when notice arrives, service and billing may continue into the following monthly period, for up to about 60 days after notice. Fees for service periods through that effective date remain due.
Apart from the notice period in this Section 8.5, there is no minimum term unless the accepted Service Details state one. Stopping a campaign, removing account access, or ceasing communication does not itself cancel Operator. Ending Operator does not automatically cancel a separate software subscription or erase approved outside commitments; your notice should identify the services to end.
Either party may terminate affected agency services for a material breach not cured within ten business days after written notice. We may suspend immediately for nonpayment, unlawful instructions, fraud, security risk, or urgent safety concerns. If we discontinue paid agency services without your breach and without providing the agreed service, we will return the unearned portion of prepaid agency fees; unused creator funding is handled under Section 5.
At termination, we will provide agreed completed and paid deliverables and reasonably cooperate in removing our account access. Extra transition work must be separately agreed. We do not promise transfer of Creator-owned accounts, software, internal tools, working files, or third-party licenses.
9. Advertising claims, disclosures and lawful content
Brands must provide accurate, lawful, substantiated product claims and have rights to the assets and instructions they supply. This includes health, supplement, financial, comparative, pricing, and performance claims. A disclaimer or “research use only” label does not authorize otherwise unlawful advertising.
Creators must accurately represent their own experience and opinions. They must not claim to have bought, used, tested, or achieved results from a product unless true. Scripts, AI output, and Brand approval do not authorize fabricated testimonials or deceptive reviews.
Paid, gifted, and affiliate relationships must be clearly disclosed in every applicable post, video, and LIVE. Use required platform tools and clear disclosures in the content itself where required; a buried hashtag, bio disclosure, or description alone may be inadequate. LIVE disclosures must remain apparent or recur so viewers joining later can understand the sponsorship. Required disclosures may not be removed or weakened at a Brand’s request. A Brand may turn off our default #ad caption tag, but may not tell a Creator to leave out a disclosure that the law or the platform requires. The Creator’s own duty to disclose does not change.
We maintain reasonable training and monitoring programs for Creators we direct, appropriate to our role and legal duties. We may review content, request substantiation, reject content, stop publishing, or request corrections and takedowns. Our review is not legal advice, product testing, or a guarantee that every statement or post is compliant. No provision transfers away duties that applicable law imposes directly on ContentCraze, a Brand, or a Creator.
Our standard content-review workflow covers content submitted through the Services or another expressly agreed review process. We do not have continuous visibility into every Creator’s account activity, posts, comments, LIVE statements, or independent conduct. Creators may fail to follow instructions or publish content outside the approved workflow; we do not guarantee that every Creator will comply with every requirement. Approval applies only to the content reviewed and does not authorize later changes, additional claims, or separate posts. To the extent permitted by law and subject to Section 17, we are not responsible for unauthorized Creator statements or conduct outside the approved workflow, except to the extent responsibility arises from our own acts, omissions, express commitments, or legal duties. This does not limit our reasonable training and monitoring obligations for Creators we direct or appropriate corrective action when violations become known.
You must promptly report inaccurate claims, revoked permissions, safety issues, or regulatory restrictions affecting a campaign and cooperate in appropriate corrective action. Required correction does not guarantee recovery of funds already legitimately spent.
10. Content ownership and permissions
10.1 Acceptance and payment. Content is “Accepted” when it is expressly approved or purchased through the applicable workflow, and “Acceptance” means that event; the absence of rejection alone is not Acceptance. For a campaign requiring public posting, Acceptance of the completed deliverable also requires the approved, verified posting requirements to be met, unless Program Rules state otherwise.
Upon Acceptance and full payment of the applicable deliverable charges, the Creator hereby assigns to the Brand all transferable copyright and other intellectual property rights in that deliverable, worldwide and for the full duration of those rights. A work is treated as made for hire only where legally eligible and validly agreed; the assignment operates independently if that status does not apply. To the extent permitted, Creators waive or agree not to assert moral rights and will reasonably confirm the assignment when needed.
For this purpose, payment means the Brand has paid the agreed charges and the corresponding valid Creator compensation has been paid or irrevocably credited as payable under the accepted arrangement. A provider processing delay does not, by itself, undo completed rights transfer. Separate Creator agreements must implement the applicable assignment.
Campaigns without posting. Where the accepted Program Rules specify that Creators may not post these videos, a video is Accepted only when expressly approved by the Brand or its authorized ContentCraze reviewer. Approval credits the Creator’s agreed pay at once, and the Brand cannot undo an approval. Ownership transfers only after that approval and satisfaction of the payment conditions in this Section 10.1; Submission alone does not transfer rights. Because Creators do not post these videos, no public post, post URL, or posting verification is required.
10.2 Permitted uses and limits. Ownership includes rights to reproduce, publish, edit, adapt, distribute, run paid advertising, and sublicense the acquired rights. It does not transfer ownership of a Creator’s social account, third-party music or stock assets, preexisting materials, or ContentCraze technology. Those items remain subject to their applicable licenses. AI output may not be exclusive or eligible for copyright.
Plan limits may control access to downloads and ad tools. Such limits do not revoke ownership of a deliverable already paid for. Spark Ads, whitelisting, account access, and similar authorizations require the applicable separate platform permissions, scope, and duration.
Creators authorize use of their name, handle, image, and voice as embodied in accepted deliverables for the Brand’s lawful use of those deliverables. This is not permission to fabricate new endorsements, clone a Creator’s voice or likeness, or suggest a broader ongoing relationship without separate consent. Creators must obtain necessary releases from other identifiable participants. Creators also grant ContentCraze the right to display the Creator’s handle, connected social profile links, and the names of the Brands whose campaigns the Creator is in on the Creator’s ContentCraze link page, as described in the Privacy Policy.
10.3 Pending, rejected and expired content. Pending, rejected, or expired Submissions remain the Creator’s property. Brands may access them only for permitted review, not download, publish, advertise with, or otherwise commercially exploit them. Unauthorized commercial use may create liability for the applicable disclosed purchase price and other lawful remedies. Paying for that use does not automatically cure infringement or supply missing third-party rights.
10.4 Operating licenses and agency work. Brands and Creators grant us the nonexclusive permissions needed to host, edit, display, deliver, verify, and administer their content and Brand materials, maintain necessary records, and address disputes and legal obligations. Brands authorize participating Creators to use supplied materials only for the applicable program. Paid posts and Creator portfolio display remain permitted subject to reasonable confidentiality, legal, and Brand-safety restrictions.
Unless accepted Service Details state otherwise, the Brand owns final, Brand-specific agency deliverables upon full payment. ContentCraze retains its software, reusable templates, methods, know-how, research processes, and preexisting materials. Where retained materials are embedded in a paid final deliverable, the Brand receives a perpetual, worldwide, nonexclusive license to use them as part of that deliverable. Raw footage, editable source files, and internal working documents are included only if agreed.
Music available on a social platform may not be cleared for ads or off-platform reuse. Each party must secure rights for materials it supplies; Brands must secure any additional clearance required by their intended reuse. We will not publish confidential information, private results, or a Brand-identifying case study without permission.
11. AI, research, analytics and performance
AI features can assist with scripts, editing, strategy, and campaign decisions. Outputs may be inaccurate, incomplete, similar to others’ outputs, or unsuitable for a proposed use. Review them before approving or using them. AI recommendations do not authorize spending or replace required approval, substantiation, or professional advice.
Reporting may rely on third-party APIs, public data, samples, and estimates. Metrics can be delayed, unavailable, revised, or measured differently across providers. Search positions and AI references vary by query, location, account, and time.
Forecasts, budget calculators, projected content quantities, estimated costs, and other campaign predictions are based on ContentCraze’s calculations, available data, and assumptions at the time. They are planning estimates and may be inaccurate. Actual output and performance may differ because organic social distribution is unpredictable, Creator participation and availability vary, and platform algorithms, policies, and reporting can change. These estimates are not guaranteed minimums. Differences between estimates and actual results do not, by themselves, establish a breach or a right to a refund. This does not cancel or reduce any expressly agreed deliverable, minimum, remedy, or other obligation under these Terms.
Unless accepted Service Details or Program Rules expressly provide a defined guarantee, we do not promise particular views, engagement, creator counts, sales, conversions, return on spend, affiliate income, rankings, indexing, AI citations, virality, or removal or suppression of third-party content. Examples and past results do not guarantee future results. This does not cancel any expressly agreed deliverable or remedy.
12. Third-party services and disruptions
Social platforms, search engines, AI providers, banks, payment processors, and other integrations have their own terms. You must follow the terms applicable to your use. ContentCraze is not endorsed by or affiliated with those providers merely because it supports their services.
Third-party outages, removals, account restrictions, algorithm changes, and integration limits may affect delivery and results. We will reasonably address effects on our contracted work, but cannot control third-party decisions. These events are subject to the remedies expressly agreed and the liability limits in Section 17; they do not excuse ContentCraze’s own nonwaivable obligations.
Neither party is liable for delay caused by events beyond its reasonable control, but this does not excuse payment obligations already due. The affected party must reasonably notify the other and mitigate the delay. If such an event prevents agency work for more than 30 days, either party may end the affected work, with unearned prepaid agency fees returned and campaign funding handled under Section 5.
13. Marketplace and special programs
For Marketplace purchases, the brief states the price, deliverables, response window, rights, and any posting obligation. Pending Submissions are not Accepted merely because the Brand fails to respond. We may pause briefs or expire unanswered Submissions. Completed, Accepted purchases are final except for an express remedy, confirmed error, or mandatory legal right.
LIVE, affiliate, custom ambassador, and other programs require their own stated scope, eligibility, compensation, and verification terms. A Brand’s external affiliate program does not become a ContentCraze payment obligation unless we expressly undertake it. No prize, sweepstakes, or contest is offered merely by calling a campaign a “contest”; any actual prize program requires applicable official rules.
60 free videos offer. When we advertise “60 free videos” (the “Offer”), these rules apply, and they control over any ad or page that describes it.
- Who can get it. A Brand that has never held a paid plan or paid for a campaign, signs up while the Offer is available, and within 14 days of signing up launches its first campaign on Pro or Pro Unlimited with a monthly budget, paid with a card issued in the United States. One Offer per Brand, per person signing up, and per company; we may treat accounts that share a company email domain, website, or payment card as one company. It does not combine with partner perks or other promotions.
- What you get. After your first plan payment is confirmed, ContentCraze adds its own funding to that campaign, enough for about 60 videos at the campaign’s standard amount per video. How many videos are actually made depends on your scripts and on creators. The Offer does not apply to longer talking videos.
- What you pay. You pay the plan at its regular price when you launch. Your monthly budget starts on your next monthly billing date and renews each month until you change or stop it in Billing. We email you about 7 days before the first charge.
- No cash value or refund. The Offer funding has no cash value and is never refunded, credited, or moved to another campaign. If you later ask for a refund of unused budget under Section 5, the Offer funding counts as spent first.
- Limits and changes. We may limit how many Brands get the Offer each month, and we may change or end it for Brands that have not yet paid. If we find misuse, such as one company using several accounts or a disputed payment, we may end the campaign, and any Offer funding not yet spent will not be used.
14. Confidentiality, privacy and communications
Each party must use the other’s nonpublic business information only to perform or receive the agreed Services, protect it with reasonable care, and share it only with personnel and providers who need it and are subject to appropriate confidentiality duties. This does not cover information that is already public through no breach, was independently developed, was lawfully received from another source, or must be disclosed by law. Personal information is handled under the Privacy Policy and any applicable data-processing agreement.
We may send account, campaign, invoice, approval, and payout notices by email, in-app message, or push notification. Marketing messages and SMS require the applicable consent. Consent is not a condition of purchase.
If you separately opt into ContentCraze Alerts, message frequency varies and message and data rates may apply. Reply STOP to opt out and HELP for support, or email nick@contentcraze.io. A single opt-out confirmation may be sent. Carriers are not responsible for delayed or undelivered messages. We use service providers to deliver messages and do not sell or share SMS consent information for others’ marketing.
Keep your contact information current. Electronic records and signatures may be used to the extent permitted by law.
15. Acceptable use, copyright and suspension
Do not violate law, sanctions, third-party rights, or applicable program and provider rules; submit stolen content; fabricate testimonials; buy or manipulate engagement; impersonate others; misuse account access; or interfere with or unlawfully copy the Services. We may audit relevant activity, reject or remove content, and restrict access proportionately.
Send copyright complaints to nick@contentcraze.io, subject “Copyright Notice,” or to Craze Software, LLC, Attn: Copyright Agent, 131 Continental Dr Ste 305, Newark, DE 19713, USA. A notice under the Digital Millennium Copyright Act (“DMCA”) must identify the protected work and challenged material and its location; provide your name, mailing address, telephone number, email address, and physical or electronic signature; state your good-faith belief that the use is unauthorized; and state, under penalty of perjury, that the notice is accurate and you are the owner or authorized representative.
A counter-notice must include your signature, identification and former location of the removed material, contact details (name, mailing address, and telephone number), a statement under penalty of perjury that you have a good-faith belief the material was removed or disabled as a result of mistake or misidentification, a statement consenting to the jurisdiction of the federal district court for the judicial district in which your address is located (or, if your address is outside the United States, any judicial district in which ContentCraze may be found), and agreement to accept service from the complainant or its agent. We handle notices and restoration under applicable law, including the statutory counter-notice process (restoration 10 to 14 business days after a valid counter-notice, where applicable), subject to notice of a filed court action. We terminate repeat infringers in appropriate circumstances.
We may suspend or terminate access for material violations, fraud, security risk, nonpayment, legal requirements, or provider restrictions. We may give an opportunity to correct a problem when appropriate. Except for a ban under Section 7, suspension does not automatically remove legitimate earned compensation or eliminate express refund obligations. You should retain copies of deliverables and records; the Services are not a permanent archive.
16. Warranties and disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXCEPT FOR EXPRESS COMMITMENTS IN ACCEPTED SERVICE DETAILS OR PROGRAM RULES, THE SERVICES AND AI OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE ACCESS OR PARTICULAR MARKETING RESULTS.
We will perform expressly contracted agency services with reasonable care and skill. Our content review is not a legal opinion, clinical evaluation, financial recommendation, or assurance of compliance. Nothing here limits a warranty, standard of care, or remedy that cannot lawfully be excluded.
17. Limits on ContentCraze’s liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTENTCRAZE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, LOST BUSINESS OPPORTUNITIES, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION ARISING FROM THESE TERMS OR SERVICES.
OUR TOTAL AGGREGATE LIABILITY ARISING FROM THESE TERMS AND SERVICES WILL NOT EXCEED THE GREATER OF US$100 OR THE CONTENTCRAZE SERVICE FEES YOU ACTUALLY PAID TO US, INCLUDING DISCLOSED FEES RETAINED FROM YOUR CREATOR EARNINGS, IN THE 12 MONTHS BEFORE THE FIRST EVENT GIVING RISE TO THE CLAIM. “CONTENTCRAZE SERVICE FEES” MEANS SOFTWARE SUBSCRIPTION FEES, AGENCY FEES, AND PLATFORM FEES RETAINED BY CONTENTCRAZE. IT EXCLUDES CREATOR COMPENSATION, AD SPEND, TAXES, AND OTHER AMOUNTS PAID OR RESERVED FOR THIRD PARTIES. RELATED CLAIMS DO NOT CREATE SEPARATE CAPS.
These exclusions and limits do not apply to ContentCraze’s fraud, willful misconduct, gross negligence, or liability that applicable law does not allow us to exclude or limit. They do not reduce valid Creator compensation already owed or a refund we are expressly required to return under an accepted agreement or law. Your valid payment obligations and indemnification duties remain subject to their own terms and applicable law. These limits apply regardless of the theory of liability and to the extent permitted if an agreed remedy fails its essential purpose.
18. Indemnification for third-party claims
To the extent permitted by law, you will defend, indemnify, and hold harmless ContentCraze and its affiliates, officers, employees, and contractors from third-party claims, resulting damages, lawful liabilities, and reasonable defense costs arising from your breach of these Terms, unlawful conduct, or infringement of third-party rights.
Brands’ obligations include third-party claims arising from their products and fulfillment, Brand-supplied assets, unsupported or false product claims, unlawful instructions, lack of required permissions, or misuse of deliverables. Creators’ obligations include claims arising from content or materials they supply without rights, false representations of personal experience, fraudulent activity, or their failure to make required disclosures. Obligations apply to the extent the claim is caused by the indemnifying party’s conduct or materials.
No party must indemnify ContentCraze for the portion caused by ContentCraze’s own breach, negligence, fraud, willful misconduct, or violation of law. This section allocates qualifying losses between the parties; it does not bind regulators, eliminate legal duties, or authorize unlawful conduct.
We will promptly notify you of a claim, with any delay reducing your obligations only to the extent it materially prejudices the defense. You may control the defense with competent counsel reasonably acceptable to us. We may participate at our own expense except where a conflict requires separate counsel under law. No settlement may admit our fault, impose nonmonetary duties on us, or fail to fully release us without our written consent, which will not be unreasonably withheld. The parties must reasonably cooperate. This section addresses third-party claims, not automatic attorney-fee recovery in disputes between you and ContentCraze.
19. Individual arbitration and dispute resolution
PLEASE READ THIS SECTION. WHERE ENFORCEABLE, IT REQUIRES INDIVIDUAL ARBITRATION INSTEAD OF A COURT TRIAL AND LIMITS CLASS PROCEEDINGS.
Before filing a claim, either party may contact the other to try to resolve it. Contact ContentCraze at nick@contentcraze.io. This does not prevent urgent relief or filing to preserve a legal deadline.
Except for qualifying small-claims matters, requests for temporary court relief to protect rights pending arbitration, and claims that cannot lawfully be required to arbitrate, you and ContentCraze agree to resolve disputes about these Terms or Services through binding individual arbitration administered by the American Arbitration Association (“AAA”). The Federal Arbitration Act governs this agreement. AAA’s applicable Commercial, Consumer, or Employment/Workplace Rules and mandatory fee and due-process requirements govern as appropriate to the dispute. Current rules are available at adr.org.
Arbitration will ordinarily occur remotely or in Delaware for business disputes, subject to applicable AAA rules and law. Where consumer or other mandatory rules require a different hearing location or cost allocation, those requirements control. We will pay fees assigned to us by those rules. A court decides whether this arbitration agreement was formed and any issue that applicable law reserves to a court.
To the extent permitted by law, claims must proceed individually, and neither party may require a class or representative proceeding in arbitration. This does not bar relief or proceedings that law makes nonwaivable, including required public injunctive relief or lawful reports to authorities. If the individual-proceeding restriction is unenforceable for a claim, that claim proceeds in court rather than class arbitration.
You may opt out of this arbitration agreement by emailing nick@contentcraze.io (or by mail to the address in Section 22) within 30 days after accepting this version, identifying your name, account email, and intention to opt out. Opting out does not affect access to Services. If you previously validly opted out, that choice remains effective. If AAA declines administration because we fail to comply with its requirements, you may pursue the dispute in a competent court.
20. Governing law and court venue
Delaware law governs these Terms, excluding conflict-of-law principles, subject to the Federal Arbitration Act and any mandatory protections under applicable law. Disputes properly proceeding in court will be brought in state or federal courts in Delaware, except where a valid small-claims filing or mandatory law requires or permits another forum. Nothing limits nonwaivable consumer, worker, privacy, or other statutory rights.
21. Changes and general provisions
We may update Services and these Terms. Material changes will be notified through reasonable channels with an effective date and any legally required acceptance process. Changes apply prospectively and do not reduce already earned compensation, completed rights transfers, or agreed commitments retroactively. Previously accepted Service Details and express commitments remain governed by the applicable accepted version unless changed by mutual agreement or a valid change process disclosed before acceptance. A commitment made before the effective date of these Terms to deliver approved or published content is not converted into a Submission-only commitment by the counting rules in Section 6.
These Terms and the applicable accepted Service Details, Program Rules, and Creator Assent make up the agreement for the Services, including Operator. Changes to accepted Service Details require both parties’ agreement, which may be recorded electronically or in writing without a separate signed contract. We may retain electronic records of the accepted details, terms version, and acceptance. If a provision is unenforceable, the remaining provisions continue to apply, subject to Section 19. Failure to enforce a provision is not a waiver.
You may not assign an active service agreement without our written consent. We may assign it in connection with a merger, reorganization, or sale of the relevant business, subject to law and continuing obligations. This restriction does not prevent a Brand from exercising transfer or sublicensing rights in paid deliverables under Section 10. Provisions concerning accrued payment obligations, content rights, confidentiality, disputes, indemnity, and liability survive termination as appropriate.
